1. AGREEMENT TO TERMS
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Ascendance Studio LLC (“Company,” “Ascendance Studio,” “we,” “us,” or “our”), concerning your access to and use of the Ascendance Studio website, including www.ascendancestudiousa.com and any related website, media form, media channel, mobile website, mobile application, booking link, payment link, or online service connected to Ascendance Studio (collectively, the “Site”).
By accessing or using the Site, you agree that you have read, understood, and agreed to be bound by these Terms and Conditions.
IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms, policies, waivers, agreements, purchase policies, membership terms, or other documents posted on the Site or provided by Ascendance Studio are incorporated into these Terms and Conditions by reference. We reserve the right, in our sole discretion, to update, modify, or replace these Terms and Conditions at any time. We will indicate updates by changing the “Last Updated” date above. Your continued use of the Site after any updates means that you accept the revised Terms and Conditions.
The Site is intended for users who are at least 18 years old. Persons under the age of 18 may only participate in Ascendance Studio services with consent from a parent or legal guardian where applicable.
2. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, logos, trademarks, service marks, names, program materials, written content, curriculum references, and visual materials on the Site (collectively, the “Content”), are owned or controlled by Ascendance Studio or licensed to Ascendance Studio.
The Content is protected by copyright, trademark, intellectual property, and unfair competition laws of the United States and applicable international laws.
You may access and use the Site and Content only for your personal, non-commercial use. No part of the Site or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior written permission of Ascendance Studio.
Ascendance Studio reserves all rights not expressly granted to you.
3. USER REPRESENTATIONS
By using the Site, you represent and warrant that:
(1) you have the legal capacity to agree to these Terms and Conditions;
(2) you will comply with these Terms and Conditions;
(3) you are not a minor in the jurisdiction in which you reside, or you are using the Site with permission of a parent or legal guardian;
(4) you will not access the Site through automated or non-human means, including bots, scripts, or similar methods;
(5) you will not use the Site for any illegal or unauthorized purpose; and
(6) your use of the Site will not violate any applicable law or regulation.
If you provide any information that is false, inaccurate, incomplete, or not current, we reserve the right to suspend or terminate your access to the Site or refuse current or future services.
4. PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than the purpose for which Ascendance Studio makes the Site available.
As a user of the Site, you agree not to:
Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, any collection, database, directory, or similar resource without our written permission.
Trick, defraud, or mislead us or other users.
Circumvent, disable, or interfere with security-related features of the Site.
Disparage, damage, or otherwise harm Ascendance Studio, the Site, or our reputation.
Use information obtained from the Site to harass, abuse, or harm another person.
Use the Site in a manner inconsistent with any applicable laws or regulations.
Engage in unauthorized framing of or linking to the Site.
Upload or transmit viruses, Trojan horses, malware, spam, or other harmful material.
Engage in automated use of the Site, including scraping, data mining, robots, scripts, or similar tools.
Delete copyright, trademark, or proprietary rights notices from any Content.
Attempt to impersonate another person or entity.
Interfere with, disrupt, or create an undue burden on the Site or connected networks.
Harass, annoy, intimidate, or threaten any Ascendance Studio employee, contractor, instructor, agent, client, or representative.
Attempt to bypass any measures designed to prevent or restrict access to the Site.
Copy, adapt, reverse engineer, decompile, or disassemble any software or code connected to the Site, except as permitted by law.
Use the Site as part of any effort to compete with Ascendance Studio.
Use the Site or Content for any revenue-generating commercial purpose without written permission.
5. USER GENERATED CONTRIBUTIONS
The Site may allow you to submit information, messages, forms, comments, photos, videos, testimonials, reviews, questions, suggestions, or other materials to Ascendance Studio (“Contributions”).
By submitting any Contributions, you represent and warrant that:
Your Contributions are true, accurate, and not misleading.
Your Contributions do not infringe the intellectual property, privacy, publicity, or other rights of any third party.
You own or have permission to submit the Contributions.
Your Contributions are not obscene, defamatory, abusive, threatening, harassing, hateful, or otherwise objectionable.
Your Contributions do not violate any applicable law or regulation.
Your Contributions do not contain unauthorized advertising, spam, or solicitation.
If your Contributions include images, videos, or likenesses of individuals, you have obtained any necessary permission or consent.
Ascendance Studio reserves the right, but has no obligation, to review, remove, edit, or refuse any Contributions.
6. CONTRIBUTION LICENSE
By submitting Contributions to Ascendance Studio, you grant us permission to access, store, process, and use the information you provide in accordance with our Privacy Policy and any applicable consent forms or media releases.
If you submit testimonials, reviews, comments, photos, videos, or feedback, Ascendance Studio may use such materials for business, marketing, promotional, educational, operational, or internal purposes where legally permitted and where appropriate consent has been provided.
You retain ownership of your Contributions. However, you are solely responsible for your Contributions and agree that Ascendance Studio is not liable for any statement, claim, or material submitted by you.
7. SUBMISSIONS
Any questions, comments, suggestions, ideas, feedback, or other information submitted to Ascendance Studio regarding the Site or our services (“Submissions”) may be used by us for lawful business purposes without compensation to you.
You agree that Submissions are non-confidential unless otherwise agreed in writing.
8. SITE MANAGEMENT
We reserve the right, but not the obligation, to:
monitor the Site for violations of these Terms and Conditions;
take legal action against anyone who violates these Terms or applicable law;
refuse, restrict, limit, or disable access to any portion of the Site;
remove or disable content that is excessive, burdensome, harmful, inaccurate, or otherwise inappropriate; and
manage the Site in a manner designed to protect our rights, property, users, clients, and business operations.
9. TERM AND TERMINATION
These Terms and Conditions remain in full force and effect while you use the Site.
Ascendance Studio reserves the right, in our sole discretion and without notice or liability, to deny access to or use of the Site to any person for any reason, including breach of these Terms and Conditions or violation of applicable law.
We may terminate or suspend your access to the Site at any time without warning.
10. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, update, suspend, discontinue, or remove any content, feature, service, price, schedule, or availability on the Site at any time without prior notice.
We do not guarantee that the Site will be available at all times. We may experience technical issues, maintenance, delays, or interruptions.
Ascendance Studio is not liable for any loss, damage, inconvenience, or interruption caused by your inability to access or use the Site.
11. PURCHASES, PAYMENTS, AND SERVICES
Purchases made through the Site, online checkout, payment links, booking platforms, or other approved methods are subject to Ascendance Studio’s Purchase Policy and any applicable membership, package, waiver, or service agreement.
Ascendance Studio reserves the right to correct pricing errors, update service descriptions, modify availability, and refuse or cancel orders where necessary.
Completing a purchase does not guarantee a specific appointment time, instructor, class, program, or service date unless confirmed by Ascendance Studio.
12. GOVERNING LAW
These Terms and Conditions and your use of the Site shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.
13. DISPUTE RESOLUTION
Informal Negotiations
To resolve disputes efficiently and control costs, you and Ascendance Studio agree to first attempt to resolve any dispute, controversy, or claim related to these Terms and Conditions, the Site, purchases, services, or interactions with Ascendance Studio through informal negotiations for at least thirty (30) days before initiating arbitration or legal action, unless emergency or injunctive relief is required.
Informal negotiations begin upon written notice from one party to the other.
Binding Arbitration
If the parties are unable to resolve a dispute through informal negotiations, the dispute may be resolved through binding arbitration, where legally permitted.
YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU MAY HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
The arbitration shall be conducted in accordance with the applicable rules of the American Arbitration Association (“AAA”), where applicable. Unless otherwise required by law, arbitration shall take place in Texas.
Exceptions
The following disputes are not subject to mandatory informal negotiation or arbitration:
disputes seeking to enforce or protect intellectual property rights;
disputes involving allegations of theft, unauthorized use, privacy invasion, or unlawful conduct;
claims for injunctive or emergency relief; and
claims that cannot legally be subject to arbitration.
If any arbitration provision is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.
14. CORRECTIONS
The Site may contain typographical errors, inaccuracies, or omissions, including errors related to pricing, descriptions, availability, schedules, programs, services, or other information.
Ascendance Studio reserves the right to correct any errors, inaccuracies, or omissions and to update or change information on the Site at any time without prior notice.
15. DISCLAIMER
The Site is provided on an “as-is” and “as-available” basis. Your use of the Site is at your sole risk.
To the fullest extent permitted by law, Ascendance Studio disclaims all warranties, express or implied, in connection with the Site and your use of it, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee the accuracy, completeness, reliability, or availability of the Site or any content linked to the Site.
Ascendance Studio assumes no liability for:
errors, mistakes, or inaccuracies of content;
personal injury or property damage resulting from your use of the Site;
unauthorized access to or use of secure servers or personal information;
interruption or cessation of transmission to or from the Site;
bugs, viruses, harmful code, or similar issues transmitted by third parties; or
any loss or damage resulting from use of content posted or made available through the Site.
16. LIMITATIONS OF LIABILITY
To the fullest extent permitted by law, Ascendance Studio, its owners, directors, employees, instructors, contractors, agents, affiliates, and representatives shall not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or services.
To the fullest extent permitted by law, Ascendance Studio’s total liability to you for any claim shall be limited to the lesser of the amount paid by you to Ascendance Studio for the service giving rise to the claim or $50.00 USD.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Ascendance Studio LLC, including its owners, directors, employees, instructors, contractors, agents, affiliates, and representatives, from and against any loss, damage, liability, claim, demand, cost, or expense, including reasonable attorneys’ fees, arising out of or related to:
your use of the Site;
your breach of these Terms and Conditions;
your violation of any law or regulation;
your violation of the rights of any third party;
your Contributions or Submissions; or
any harmful act toward another user, client, employee, contractor, instructor, or representative of Ascendance Studio.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
18. USER DATA
We may maintain certain data that you transmit to the Site for the purpose of managing the Site, responding to inquiries, processing purchases, managing bookings, improving services, and operating Ascendance Studio.
Although we may perform routine data backups or use third-party service providers, you agree that Ascendance Studio shall have no liability for any loss, corruption, or unauthorized access to data beyond what is required by applicable law.

19. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Site, sending emails, completing forms, submitting inquiries, booking services, completing purchases, signing documents electronically, or communicating with Ascendance Studio electronically constitutes electronic communications.
You consent to receive electronic communications from Ascendance Studio. You agree that all agreements, notices, disclosures, policies, records, and other communications provided electronically satisfy any legal requirement that such communication be in writing.
YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, ELECTRONIC CONTRACTS, ONLINE ORDERS, ELECTRONIC WAIVERS, ELECTRONIC POLICIES, AND ELECTRONIC RECORDS.
You waive any rights or requirements under laws requiring original signatures, paper delivery, or non-electronic records, to the extent permitted by law.

21. MISCELLANEOUS
These Terms and Conditions, together with any policies, waivers, purchase terms, membership terms, agreements, or operating rules posted by Ascendance Studio or provided through the Site, constitute the entire agreement between you and Ascendance Studio regarding use of the Site.
Our failure to enforce any right or provision of these Terms and Conditions shall not operate as a waiver of that right or provision.
If any provision of these Terms and Conditions is found unlawful, void, or unenforceable, that provision shall be severed from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions.
No joint venture, partnership, employment, agency, or franchise relationship is created between you and Ascendance Studio as a result of these Terms and Conditions or your use of the Site.
You agree that these Terms and Conditions will not be construed against Ascendance Studio by virtue of having drafted them.
